Owner Affiliate-Program & Payout Terms

These Program Terms are an addendum to our Terms of Service and apply when you run an affiliate program. The arbitration, class-action-waiver, and 30-day opt-out provisions in Terms Section 18 apply to disputes under these Program Terms.

These Owner Affiliate-Program & Payout Terms ("Program Terms") govern your use, as a Customer (the "Owner"), of the affiliate-program and payout/Wallet features of the LeadGen AI platform (the "Service"). Where these Program Terms conflict with the Terms on affiliate/payout matters, these Program Terms control.

1. The affiliate program

The Service lets you recruit and manage Affiliates, generate trackable links, compute Commissions under a model you choose, fund a prepaid Wallet, and disburse Commissions to Affiliates via Stripe Express. Affiliates are independent third parties — not our or your employees, agents, or contractors. You alone select, vet, instruct, and are responsible for your Affiliates.

2. Definitions

  • "Affiliate" — a creator you invite to promote your business through the Service.
  • "Commission" — the amount you've agreed to pay an Affiliate under the model you configure.
  • "Wallet" — the prepaid balance you fund in advance, used solely to pay your Affiliates' Commissions.
  • "Funded Floor" — the minimum Wallet balance required to keep automatic payouts active (currently $25.00; may change).
  • "Stripe Express" — Stripe's connected-account product used to disburse Commissions.

3. Funding Wallet & payouts (read carefully)

3.1 Prepaid funding model — how your money moves

You deposit funds in advance into your Wallet. We receive those funds through our payment processor (Stripe) and hold them in a pooled platform account that we control, for the sole purpose of funding payouts to your Affiliates. We deduct Commissions from your Wallet balance as Affiliate earnings are approved and disburse them to your Affiliates at your direction and under the rules you configure. You — not LeadGen AI — are the source of funds for all Commissions; we never pay Affiliates from our own funds.

We are not a bank. Wallet funds are not a deposit account, are not interest-bearing, and (unless we state otherwise in writing) are not held in a segregated trust or FDIC-insured account.

3.2 Auto-Recharge (optional)

You may authorize us to automatically charge your saved payment method to top up your Wallet to a target balance whenever it falls to or below a trigger you set. You can enable, change, or disable Auto-Recharge anytime.

3.3 Insufficient funds — reminders

If a projected payout exceeds your Wallet balance, we send reminder emails before the scheduled payout and whenever your balance drops below your threshold. Reminders are a courtesy and don't waive your obligation to keep the Wallet funded.

3.4 Past-due payouts & graduated suspension

If the payout date arrives with insufficient funds, automatic payouts pause; pending Commissions remain owed to your Affiliates. If the shortfall persists, your account is progressively restricted over time — first read-only, then locked (login only to settle), then archived (settle and contact support to restore), and ultimately, after an extended period of non-payment, eligible for deletion, subject to applicable law. You can restore service anytime by funding the Wallet.

3.5 Payment failures with sufficient funds

If a payout fails despite a funded Wallet (e.g., an Affiliate's Stripe issue), we notify you and retry; further payouts to that Affiliate pause until resolved.

3.6 Commission reversals (refunds & chargebacks)

If a sale that generated a Commission is later refunded, charged back, or reversed within 120 days of the sale, the corresponding Commission may be reversed and credited back to your Wallet or offset against the Affiliate's future earnings, per your configured rules.

3.7 Deposit chargebacks

If you charge back or dispute a Wallet deposit after Commissions were funded or paid from it, your account may be suspended and you remain liable for the disbursed amounts and any resulting fees. We may offset such amounts against your Wallet or other balances.

3.8 Refunds & Wallet withdrawal

Deposits are non-refundable except as required by law or as we permit. On account closure you may request withdrawal of your remaining balance, less pending Commissions, fees, and amounts subject to dispute, reversal, or regulatory hold. Withdrawals are processed within 30 days.

3.9 Dormant Affiliate funds

Funds earmarked for an Affiliate who never completes Stripe onboarding remain owed to that Affiliate; after 180 days they are returned to your Wallet or handled under applicable unclaimed-property law.

4. Payment processing

We use Stripe, Inc. to collect deposits and disburse payouts. By using the Service you also agree to applicable Stripe terms, including the Connected Account Agreement. Stripe processes card and bank details; we do not store full card or bank numbers.

5. Your Affiliates — your responsibility

You are solely responsible for: vetting and managing your Affiliates; ensuring their content complies with law (including FTC endorsement rules) and host-platform rules; setting compliance rules and review modes; approving/rejecting submissions; and filing required tax forms for your Affiliates (e.g., U.S. Form 1099-NEC), as applicable to your relationship with them.

6. Attribution

Accurate sale/conversion attribution requires you to integrate your website and checkout (capture the affiliate identifier and forward it as transaction metadata). We provide a setup guide and ask you to confirm completion in-app; we do not independently verify it. We're not responsible for Commission inaccuracies caused by your missing or misconfigured attribution. Platform-side failures by our own tracking infrastructure are excluded and remain our responsibility; we keep the authoritative record of received events and acknowledgements and will produce it on request.

7. Acceptable use

You agree not to use the Service for unlawful purposes, fraudulent schemes, sanctioned-party transactions, or to submit false conversion data or manipulate tracking/payout calculations, consistent with the Acceptable Use Policy.

8. Disclaimers & limitation of liability

The disclaimers in Terms Section 15 and limitation of liability in Terms Section 16 apply. The liability cap does not limit our obligation to return or correctly disburse Wallet funds you actually deposited, nor liability that cannot be limited by law.

9. Indemnification

In addition to Terms Section 17, you will indemnify and hold us harmless from claims arising out of your affiliate program, your relationship with your Affiliates, your customers, your content, or your tax obligations — except to the extent caused by our own gross negligence, willful misconduct, or violation of law.

10. Termination

You may close your account anytime by contacting support. We may suspend or terminate for breach, failure to fund per Section 3, or fraud/illegality (the graduated timeline applies to non-payment; cause-based suspensions may be immediate).

11. Dispute resolution; governing law; changes

Disputes are subject to the binding individual arbitration, class-action waiver, carve-outs, and 30-day opt-out in Terms Section 18, governed by California law. We may update these Program Terms as described in Terms Section 19.
