Affiliate Terms of Service

Welcome! These Affiliate Terms are an addendum to our Terms of Service and incorporate our Privacy Policy. The dispute-resolution, arbitration, and class-action-waiver provisions in Terms Section 18 (including your 30-day right to opt out) apply to disputes under these Affiliate Terms.

These Affiliate Terms ("Affiliate Terms") govern your participation as an Affiliate in an affiliate program operated by an independent business (the "Owner") that uses the LeadGen AI platform (the "Service"), provided by LeadGen AI LLC ("we," "us," "our"). Where these Affiliate Terms conflict with the Terms on affiliate/payout matters, these Affiliate Terms control.

Plain-language summary. You promote an Owner's business with trackable links/videos; we provide the software that tracks your activity, calculates what you've earned under the Owner's rules, and routes payouts to your Stripe account. The Owner — not LeadGen AI — sets your terms and funds your payouts.

1. Who this is between

This agreement is between you (the "Affiliate") and LeadGen AI, and governs only your use of the affiliate features for an Owner's program. You are an independent participant — not our or the Owner's employee, contractor, or agent. Nothing here creates a partnership, joint venture, or employment relationship.

2. What we do (and don't do)

We provide the software that: tracks clicks on your unique tracking links; records views, sales, and other conversion events tied to your videos; calculates your earnings under the rules the Owner set; and routes payouts to your Stripe Express account.

We do not set your commission rate or content requirements, approve or reject your videos, or pay you from our own funds. The Owner makes those decisions and is the source of all funds.

3. How you get paid

3.1 The Owner is the source of funds

Every dollar you earn comes from the Owner, not from us. The Owner maintains a prepaid balance ("Wallet") that they fund in advance. We receive those funds through our payment processor and hold them solely to pay the Owner's affiliates, and we disburse them to you at the Owner's direction and under the rules the Owner configured. We are the disbursement mechanism; we are not your debtor and we do not guarantee that the Owner will fund the Wallet. Pending disbursement, Wallet funds are held in a pooled platform account — not a segregated trust, escrow, or FDIC-insured deposit account — solely to fund affiliate payouts; our holding of funds in transit does not make us your debtor or guarantor. This means:

  • If the Owner's Wallet has enough funds when your earnings are approved and due, you're paid automatically.
  • If the Owner's Wallet is short, your approved earnings are marked "pending" until they top it up.
  • If the Owner never funds the Wallet, you may never be paid, and your only recourse is against the Owner. On reasonable request, we will provide records (click logs, conversion records, earnings calculations) to support a claim you make against the Owner.

3.2 Stripe Express for payouts

You're paid through Stripe Express. To get paid you must complete Stripe's onboarding (identity, address, and bank/debit details). Your bank details are collected and held by Stripe, not by us; we receive only status flags and identifiers. By using the Service you also agree to Stripe's Connected Account Agreement.

3.3 Commission models

The Owner picks one model, shown on your signup page: Percentage of Sale, Flat Fee per Conversion, Per 1,000 Views, or Flat Fee per Video (a base retainer may also apply). For sale-/conversion-based models, your earnings depend on the Owner correctly integrating their checkout so sale events reach us with your affiliate ID attached.

3.4 Attribution responsibility

Accurate sale/conversion attribution requires technical work on the Owner's website and checkout. We provide setup tooling and ask the Owner to confirm completion, but we do not independently verify it. If sales you drove weren't credited because of the Owner's configuration, your recourse is against the Owner, not us. Exception (platform-side failures): if our own tracking infrastructure drops or misattributes events the Owner's integration correctly forwarded, that's on us — we keep an authoritative record of received events and will produce it to help resolve a dispute, and your claim in that scenario runs against us, not the Owner.

3.5 Video review modes

The Owner sets one of: AI Auto-Approve, Manual Review, or Hybrid. In Manual and Hybrid modes, payout unlocks only after the Owner approves your submission. You'll see the status on your dashboard.

3.6 Payout timing, thresholds, and holds

Once your earnings are approved and the Wallet is funded, payouts run on the Owner's cadence (weekly, biweekly, monthly, or manual) and typically arrive in 2–7 business days via Stripe. Minimum payout: payouts may be held until your approved balance reaches $25 to avoid uneconomical micro-transfers. Holds: a payout may be delayed where required by Stripe, by law, or while a suspected-fraud or compliance review is pending (Section 6).

3.7 Commission reversal (refunds, chargebacks, fraud)

A commission is earned only on a valid, completed sale or conversion. If a sale tied to your link is later refunded, charged back, reversed, or found to be fraudulent or non-compliant within 120 days of the sale, the associated commission may be reversed and offset against your pending or future earnings, even after it was approved. We act on the Owner's rules and on signals from Stripe.

3.8 If the Owner is suspended or vanishes

If the Owner stops funding their Wallet, their account is progressively restricted. During this time any unpaid earnings remain owed by the Owner to you, but we can't guarantee payment. Your remedy is against the Owner; we'll provide reasonable documentation to support your claim.

4. What we ask of you

You agree to:

  • (a) include your tracking link in every promoted video's description (or platform equivalent);
  • (b) follow the Owner's content requirements;
  • (c) disclose your affiliate relationship as required by the U.S. FTC Endorsement Guides (e.g., "#ad") and equivalent rules — this is a legal requirement;
  • (d) comply with each host platform's rules (no bots, fake views, or manipulated engagement) and the Acceptable Use Policy;
  • (e) provide accurate information at signup and Stripe onboarding; and
  • (f) pay your own taxes — your earnings are self-employment income, Stripe may issue you a Form 1099-K if you meet the applicable threshold, and you remain solely responsible for your tax obligations.

5. Prohibited conduct

You may not: use bots, click farms, or fake views; self-refer (purchase through your own link); promote in ways the Owner prohibits; use deceptive or false claims or impersonate the Owner; or run content that violates applicable law or the AUP. Violations may result in rejected payouts, removal from the program, and forfeiture of pending earnings.

6. Fraud holds & investigation

We (or the Owner) may hold, withhold, or reverse a payout while investigating suspected fraud, abuse, policy violations, or anomalous activity, and may share relevant records with the Owner and with Stripe. Funds determined to be fraudulently obtained will not be paid.

7. Dormant / unclaimed earnings

If you don't complete Stripe Express onboarding, we can't pay you. If your approved earnings remain unclaimed because you haven't onboarded or your Stripe account is unusable for 180 days after first becoming payable, we may notify you and, absent action, return the earmarked funds to the Owner or handle them as required by applicable unclaimed-property (escheatment) law.

8. Account termination

You can leave any time — stop posting and contact the Owner to close your account; approved, funded earnings will still pay out. The Owner can remove you per their program rules; we can remove you for fraud, abuse, or Section 5 violations. On termination, unpaid pending earnings are paid if funded, or may be forfeited if removal was for cause.

9. Data & privacy

We collect and process data about your clicks, submitted videos, payout history, and signup contact info to operate the Service and provide it to the Owner, as described in the Privacy Policy, which is incorporated into these Affiliate Terms.

10. No guarantee of earnings

We make no promise about how much you'll earn. Earnings depend on the traffic and conversions your content drives, the Owner's model and review decisions, and whether the Owner funds their Wallet. There are no guarantees.

11. Disclaimers & limitation of liability

The disclaimers in Terms Section 15 and the limitation of liability in Terms Section 16 apply to these Affiliate Terms. In particular, the Service and all metrics, tracking, and AI compliance verdicts are provided "as is" without warranty of accuracy. The liability cap does not limit our obligation to transmit to you funds that we actually received into the Owner's Wallet and that became due and approved for payout to you. Your remedy for unpaid earnings that the Owner never funded is against the Owner, not us.

12. Dispute resolution; governing law

Disputes under these Affiliate Terms are subject to the binding individual arbitration, class-action waiver, carve-outs, and 30-day opt-out in Terms Section 18, and are governed by the laws of the State of California as stated there.

13. Changes; contact

We may update these Affiliate Terms as described in Terms Section 19 (material changes affecting payouts, prohibited conduct, or termination communicated at least 30 days in advance). Questions and legal notices: support@leadgenai.studio. For program-specific issues, contact the Owner.
